Commercial Terms and Conditions.

1. BOSPL Class Services availability confirmation for every customer Country location has to be sought in advance.
2. Duration of the Contract of HaaS is 36 months i.e. 12 Quarters.
3. All Class payments have to be made quarterly in advance by 3rd day of the start of the quarter.
4. Four Quarters Class charges have to be given as interest free deposit out of which two quarters can be adjusted in last 2 quarters (last 6 months) of the contract if the customer wants to end the contract after 36 months. In case the customer desires to continue for another year the 12 months security deposit will continue.
5. One month Class charges have to be paid as administrative charges.
6. Business Octane will ensure 95% uptime of the system during the validity of the contract.
7. If customer wants to stop usage before 36 months, complete charges up to 36 months need to be paid immediately against the cancellation request.
8. The goods are hereby being given on rent will always remain the property of Business Octane, during the 36 months contract as well as after the completion of the contract.
9. All charges for delivery & installation in India, All AMC charges on site support & remote charges, deinstallation, packing & reverse freight charges are included in the monthly rental charges.
10. Class charges don't Include ZOOM, CISCO, WebEX and Google Meet usage license charges, which the customer has to bear himself.
11. The responsibility and costs of procuring maintenance of Wi- Fi based internet network is that of the buyer.
12. The contract will start after from date of formal commissioning of the system or date of start of the usage of the system whichever is earlier.
13. Class quarterly payments are not related to actual usage. Even if customer is no using for whatever reasons Haas charges need to be paid as per the contract.
14. Class services signed form should be accompanied with four quarters of rental charges as interest free advance one quarter of rental charges as advance payment for the first quarter and one month rental charges as administrative charges.
15. Minimum Implementation Size: Haas services can only be availed for solutions when the monthly Class charges are more than 10,000 US Dollars per month per Country location.
16. Solution Implementation time frame will vary from 8-12 weeks provided there is no delay from customer's side, provided services such as dust free AC rooms, ready internet & Wi-Fi, ready UPS power etc.
17. After 30 months the customer can either extend the contract for a minimum period of 12 months or ask for an up gradation or confirm that goods need to be taken back after 36 months.
18. Order: The Class services order to be raised in favour of Business Octane Solutions, 5th Floor, JMD Megapolis, Sector-48, Gurgaon 122018, India.
19. Specific Country GST/Sales Tax and any other applicable taxes & levies will be charged as prevailing at the time of invoicing on Class services invoices.
20. Arbitration And Jurisdiction: All contracts of the company are subject to the jurisdiction of New Delhi and all claims actions and petitions arising out of the or in connections with this contact shall be instituted in the Courts of New Delhi.
